Our Data Strategy, Security & Privacy team is seeking a highly skilled Technology and Data Transactions Attorney with 5 to 7 years of experience to join our commercial technology and data transactions practice. This role offers the opportunity to work on complex technology and data-related transactions across a wide range of industries, including financial technology, healthcare, retail/e-commerce, transportation, energy, construction, hospitality, education, and real estate.

Job Details

Key Responsibilities:

Draft and negotiate sophisticated technology, intellectual property, and data-related commercial contracts, including software development and licensing agreements, cloud computing agreements, master services agreements, reseller agreements, and revenue-sharing contracts.
Provide legal counsel on M&A, financing transactions, and other multidisciplinary corporate deals, ensuring compliance with ownership, licensing, software development, IT security, and open-source software considerations.
Advise clients on privacy and cybersecurity contract provisions, ensuring compliance with CCPA, GDPR, and other data protection regulations.
Assist in drafting website terms of use, privacy policies, and data protection strategies.
Work cross-functionally with commercial teams to provide legal guidance on technology-related business initiatives.

Qualifications & Experience:
5-7 years of relevant experience in a law firm or in-house legal environment.
Strong background in drafting and negotiating complex technology and data agreements.
Experience conducting due diligence for M&A and corporate transactions.
Deep understanding of privacy laws, cybersecurity risks, and regulatory compliance.
Excellent analytical, drafting, and communication skills, with the ability to convey legal risks and opportunities clearly to clients.
A proactive, solution-oriented approach with the ability to manage multiple priorities effectively.
