Job Summary: As Director, Corporate Counsel - Information Management & Technology Transactions, you will be the lead attorney advising BioMarin's Information Technology (IT) organization and business end users across the company regarding technology matters. You will play a critical role in BioMarin achieving its corporate strategy to leverage the latest technology, including artificial intelligence, to facilitate BioMarin's mission of developing transformative medicines for genetic conditions. This role reports to the company's Vice President, Deputy General Counsel - Corporate (DGC) and will be part of the Legal Department. You will be the legal representative on a multiple cross-functional teams and collaborate with colleagues in IT, Cybersecurity, Global Sourcing and Procurement, and other business partners company-wide. In this role, you will work closely with BioMarin's compliance, data privacy, and intellectual property counsel as well as other Legal Department attorneys across the globe. You will help manage the department's contract associates and outside counsel, and you will regularly engage with senior executives and leaders across the organization, including the Chief Legal Officer, Chief Information Officer, and Head of Global Cybersecurity. This is an exciting opportunity to join a talented and passionate group of attorneys in support of the company's mission. Responsibilities:
  • Independently draft, review, and negotiate technology agreements, including licenses and other contracts for Software-as-a-Service (SaaS) and other cloud services, data subscriptions, on-premises technology, software and application development, technology consulting services, hardware and equipment purchases with technology components, hosting, maintenance and support services, and other technology related contracts.
  • Manage and train contracts associates in the drafting and negotiation of less complex technology agreements, while having primary responsibility for more complex and strategic agreements.
  • Build strong working relationships with leaders in IT and business operations to help understand their business needs and advise on technology-related legal issues.
  • Provide strategic counsel and trainings to IT and other BioMarin departments regarding emerging technologies and their related risks, such as artificial intelligence, information security, and open-source software.
  • Play key role in cross-functional committees and workstreams regarding artificial intelligence, information security, and data privacy.
  • Liaise with Global Sourcing and Procurement on the end-to-end contract process for technology agreements and utilize BioMarin's contract lifecycle management systems (Ariba and Icertis) with assistance from contracts associates.
  • Act as the lead attorney from the Legal Department for information security matters, including coordinating with BioMarin's Cybersecurity team on incidents, such as data and vendor breaches; represent Legal as a member of BioMarin's standing Cyber Incident Response team (CIRT).
  • Provide ongoing training for the IT organization regarding compliance with BioMarin policies and procedures.
  • Serve as the subject-matter expert regarding technology matters for the Legal Department on a global basis.
  • Contribute to the ongoing development of the Legal Department's contract templates and "playbooks" for contract negotiations.
  • Provide support for other Legal Department projects, including legal research and drafting of research memoranda on various issues as requested by senior management or other stakeholders.
  • Manage a significant workload by aligning on priorities with internal clients and developing appropriate timelines for deliverables.
Required Experience, Knowledge, and Skills:
  • 5+ years relevant prior experience in a major law firm/and or in-house law position; mix of law firm and in-house experience preferred; experience in the biotechnology/pharmaceutical industries is a plus but not required.
  • Extensive experience drafting and negotiating the types of agreements listed under Responsibilities above, including experience as the primary or lead attorney on strategic technology transactions.
  • Deep expertise in technology-related matters and issues specific to technology contracting.
  • Strong understanding of data privacy and information security matters and artificial intelligence risk management.
  • Significant experience advising clients on both business and legal issues.
  • Ability to think critically and strategically and to creatively problem solve.
  • Excellent organizational and time-management skills to enable management of multiple projects and delivering on aggressive timelines.
  • Exceptional written and verbal communication skills.
  • Strong team orientation.
  • Ability to work onsite at the company's San Rafael, CA headquarters at least 2 days a week.
Education and Bar Membership/Registration:
  • J.D. from a nationally recognized law school.
  • Current California Bar membership or eligibility for in-house counsel registration.
