About the role:

The General Counsel is responsible for providing strategic legal guidance, managing legal affairs, ensuring regulatory compliance, and overseeing corporate governance for the organization. This role also includes Company Secretary duties, ensuring corporate governance excellence, managing board processes, and maintaining compliance with relevant laws and regulations.

What you will do:
  • Regulatory Excellence: Spearhead regulatory compliance efforts across global markets, particularly in mining and technology sectors.
  • Strategic Legal Leadership: Provide strategic legal leadership, offering guidance on corporate governance, compliance, and ethical practices in alignment with the rapid growth and global expansion of the mining tech business.
  • Conflict Resolution and Ethics: Lead conflict resolution initiatives and instill a culture of ethics within the organization.
  • Contract Management: Drive the drafting, review, and negotiation of complex contracts with a focus on mining technology stakeholders globally, ensuring compliance and mitigating disputes.
  • Governance Innovation: Innovate corporate governance practices, aligning with high-growth dynamics and emerging industry standards.
  • Dynamic Record-Keeping: Oversee dynamic corporate record-keeping, including shareholder and director registers, to support the evolving needs of a high-growth tech enterprise.
  • M&A and Global Transactions: Play a pivotal role in mergers, acquisitions, and global transactions, ensuring legal and regulatory compliance in diverse jurisdictions.
  • Global Tax Strategy: Develop and implement a global tax strategy for cross-border transactions, mergers, acquisitions, and joint ventures.
  • Advanced Data Privacy Compliance: Ensure cutting-edge compliance with global data privacy laws, including GDPR and CCPA, while steering data protection initiatives.
  • Transparent Reporting: Oversee the transparent preparation and filing of statutory and regulatory documents, supporting the business's commitment to openness.
  • Sustainability Focus: Provide legal counsel on environmental regulations and sustainability practices, aligning the mining tech business with global sustainability goals.
  • Risk Mitigation: Identify and mitigate complex commercial, financial, and legal risks, with a focus on the unique challenges of the mining tech industry.
  • Intellectual Property: Safeguard intellectual property rights, navigating the complexities of trademarks, patents, and copyrights in the mining tech space.
  • Litigation expertise: Manage legal disputes and litigation, collaborating with external legal counsel as necessary to protect the business's interests.
  • Financial Acumen in M&A: Evaluate financial implications of mergers, acquisitions, and divestitures, participating in due diligence processes for strategic decision-making.
  • Technological Risk Management: Assess legal risks associated with emerging technologies, developing strategies to navigate legal implications in the rapidly evolving mining tech landscape.
  • Stakeholder Engagement: Engage with shareholders, ensuring effective communication, addressing inquiries, and facilitating impactful global shareholder meetings.
  • Identify opportunities for process improvements in financial reporting and work collaboratively with cross-functional teams to implement changes that increase efficiency and accuracy.
  • Ensure compliance with corporate governance principles and assist in board matters as required.
Company Secretary Responsibilities:
  • Manage and coordinate Board and Committee meetings, including agenda preparation and minute-taking.
  • Maintain statutory records, including director and shareholder registers.
  • Ensure compliance with corporate governance requirements, including ASX and ASIC regulations where applicable.
  • Oversee shareholder communications and manage the execution of annual general meetings (AGMs).
  • Support directors with training and governance best practices.
  • Manage ASX relationship.
  • Ensure timely preparation and submission of regulatory filings and disclosures with ASX and ASIC for head company and relevant subsidiaries.
  • Advise the Board on compliance with corporate laws, governance standards, and fiduciary duties.
Who you are: Essential
  • Bachelor of Laws (LLB) or Juris Doctor (JD), with admission to practice law in Australia.
  • Minimum of 10 years of post-admission experience in corporate law and governance.
  • Proven experience in listed company secretarial duties, including board support and regulatory compliance.
  • Strong understanding of corporate governance principles, ASIC/ASX regulations, Listing Rules and risk management.
  • Expertise in contract negotiation, commercial transactions, and dispute resolution.
  • Experience managing external legal counsel and litigation matters.
  • Strong leadership and stakeholder management skills, including Board-level engagement.
  • Excellent written and verbal communication skills.
Desirable
  • Experience in the mining, technology, or energy sectors.
  • Understanding of intellectual property law and global data protection regulations.
  • Strong financial and commercial acumen related to legal risk assessment.
  • Ability to thrive in a fast-paced, high-growth business environment.
