About the role

Indigo Shire Council is seeking expressions of interest for the role of Independent Member on its CEO Employment and Remuneration Committee. This is an opportunity to contribute external expertise, independent oversight, and governance leadership to a key committee overseeing the employment, performance, and remuneration of the CEO.

  • This is a paid position, with remuneration based on industry benchmarks.
  • The Independent Member will be appointed for a term of up to 4 years, with an option for reappointment. The Committee may meet up to 4 times per year.
  • As part of the employment process all applicants will be required to submit a minimum of two referees and be prepared to undergo a National Police Check and provide evidence of qualifications.

The key responsibilities of the Independent Member include:

  • Attending all Committee meetings at the times, dates, and places as determined by the Committee.
  • Facilitating all Committee meetings and carrying out the duties and exercising the discretions conferred on the Independent Member in accordance with the CEO Employment and Remuneration Policy, the Committee Terms and Reference and any other rules or procedures adopted by the Committee from time to time.
  • Actively participating in the Committee's mid-year and annual review of the CEO's performance plan, ensuring alignment with the Council's strategic objectives and the CEO's KPIs.
  • Actively participating in the deliberations and recommendations of the Committee, providing independent advice to support transparent and well-informed decision-making.
  • Overseeing the preparation of documentation relevant to the Committee and the CEO's employment and remuneration, including Committee minutes and reports to the Council on the CEO's performance and remuneration reviews. This includes conducting relevant benchmarking and interviews as part of the annual review.
  • Ensuring the Committee discharges its role and complies with the CEO Employment and Remuneration Policy and the Local Government Act 2020, maintaining governance integrity and legal compliance.

About you

We are seeking candidates with expertise in one or more of the following areas:

  • Executive recruitment, HR, or performance management.
  • Employment law, corporate governance, or local government experience.
  • Remuneration benchmarking and contract negotiations.
  • Board-level advisory experience or senior executive leadership.
