Job Details

We are currently on the hunt for a M&A Associate to join our thriving Legal team. This role is perfect for someone who has a passion for mergers and acquisitions, business tax, finance, and lending. The successful candidate will have the opportunity to work on a variety of complex transactions, providing legal advice and support to our clients during all stages of M&A transactions.

Responsibilities:
1. Leading due diligence investigations and preparing due diligence reports.
2. Drafting, reviewing, and negotiating a wide range of transaction documents, including purchase and sale agreements, merger agreements, and ancillary agreements.
3. Advising clients on the legal aspects of M&A transactions, including tax matters, corporate governance issues, and regulatory compliance.
4. Working closely with our clients' financial advisors to structure transactions in the most tax-efficient manner.
5. Managing the process of obtaining representation and warranty insurance (RWI) for our clients, including liaising with insurance brokers and underwriters, and reviewing and negotiating RWI policies.
6. Providing legal advice and support to our clients in relation to financing arrangements, including reviewing and negotiating loan agreements and security documents.
7. Keeping up-to-date with developments in M&A law and practice, and providing training and updates to other members of our team.

Qualifications:
1. A law degree from a recognized university and admission to the bar in the jurisdiction in which you are based.
2. A minimum of 5 years of experience in M&A law, preferably gained at a leading law firm or in-house legal department.
3. Strong knowledge of M&A law and practice, including due diligence, transaction structuring, and contract drafting and negotiation.
4. Experience with representation and warranty insurance (RWI) is highly desirable.
5. A strong understanding of business tax and finance, including the ability to advise on tax-efficient transaction structures and financing arrangements.
6. Excellent communication and interpersonal skills, with the ability to build strong relationships with clients and colleagues.
7. Strong project management skills, with the ability to manage multiple transactions and projects simultaneously.
8. A strong work ethic, with the ability to work under pressure and meet tight deadlines.
9. A proactive and solution-oriented approach to work, with the ability to think creatively and strategically to solve complex problems.
