The Role

The Baker McKenzie Australia Corporate Advisory team is one of the leading corporate advisory practices in Australia, providing ongoing corporate advisory services to more than 1500 Australian companies, including the Australian subsidiaries of many of the most well-known companies in the world.

The team is currently comprised of lawyers and corporate paralegals based in Sydney, Melbourne, and Perth and is looking to expand. As part of this expansion, the team is looking to add a paralegal to their Corporate Advisory team based in Sydney, Melbourne, or Brisbane.

Responsibilities include:

  • Registrations of public, proprietary, and foreign companies;
  • Maintaining and updating the corporate registers for a large number of local subsidiary companies and foreign registered companies;
  • Ensuring compliance of companies with requirements under the Corporations Act 2001 (Cth);
  • Drafting documents to effect changes to companies including but not limited to changes to directors, issue and transfer of shares, share buy-backs, application of class orders, change of name, change of company type, and deregistration;
  • Drafting AGM and board of director minutes;
  • Transactional matters including preparation of pre and post-closing documentation in relation to the acquisition and disposal of companies;
  • Registering business names;
  • ASIC Industry Funding and ASIC Regulatory Portal lodgements;
  • Overseeing ASIC filings and search requests for related practice groups within Baker McKenzie;
  • Conducting legal audits of corporate registers;
  • Reconstructing the register of members and records;
  • Providing assistance and information to local and international offices of Baker McKenzie regarding corporate practices in Australia.

What we're looking for

  • At least 3 years' experience in a professional services environment;
  • Previous experience in a corporate paralegal or secretarial role;
  • Knowledge of ASIC Agent portal or lodgement processes;
  • Excellent analytical, communication, and research skills;
  • A commitment to high work standards and strong attention to detail;
  • An ability to manage competing priorities and work flexibly;
  • An ability to demonstrate initiative and proactivity;
  • An ability to develop strong relationships;
  • An ability to work well in a team environment;
  • A willingness to learn.
